Zee Entertainment Enterprises’ plan to issue ₹3,143.5 crore worth of fully convertible warrants to promoter-group entity Sunbright Mauritius Investments Ltd. has been thrown into doubt after SEBI’s order against the promoters, according to proxy advisory firm inGovern.

The company had earlier received shareholder approval for the preferential allotment. That approval was meant to clear the way for the warrants issue, but inGovern said the outcome now looks like a pyrrhic victory because the regulator’s subsequent action has changed the practical situation.

At the heart of the issue is the mismatch between the shareholder nod and the later SEBI ban on the promoters from the securities market. Since the proposed warrants were to be issued to a promoter-group entity, the regulatory restrictions appear to have put the transaction in limbo.

The development adds uncertainty to Zee’s fundraising and promoter-related plans. While shareholders backed the proposal, the path for completing the warrants issuance as approved now appears unclear unless there is further regulatory or legal clarity.
