Warburg Pincus has agreed to sell its 26% holding in IndiaFirst Life Insurance to BNP Paribas Cardif, according to details of the transaction announced in Mumbai. The deal marks a notable ownership change at the Indian insurer and signals BNP Paribas Cardif’s return to the country’s insurance market.

After the transaction, BNP Paribas Cardif is expected to become the second-largest shareholder in IndiaFirst Life Insurance. Bank of Baroda will remain the biggest shareholder with a 65% stake, while Union Bank of India will continue to hold the remaining 9%.

The proposed sale changes the balance of ownership without altering Bank of Baroda’s controlling position in the company. It also gives BNP Paribas Cardif a significant foothold in IndiaFirst Life at a time when the Indian insurance sector continues to draw interest from global financial groups.

For Warburg Pincus, the agreement represents an exit from its investment in the insurer. For BNP Paribas Cardif, the move provides a direct route back into India’s insurance business through an established local player with major banking shareholders.
